Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and scdl.ai ("scdl.ai," "we," "us," or "our") governing your access to and use of the scdl.ai scheduling platform and all associated services (collectively, the "Service"). By accessing or using the Service, creating an account, or clicking any button or checkbox indicating acceptance, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, do not access or use the Service.

2. Eligibility

You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

3. The Service

scdl.ai provides an AI-powered meeting scheduling platform that allows users to create AI scheduling agents, share meeting links, and automate the scheduling of meetings with third parties. The Service is invite-only. Access is granted at our sole discretion and may be revoked at any time. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without liability to you.

4. Account Registration and Security

You must authenticate via Google OAuth to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss resulting from unauthorized use of your account.

5. License to Use the Service

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business scheduling purposes. You may not sublicense, sell, resell, transfer, or assign your access to the Service.

6. User Content and Data License

You retain ownership of the data and content you submit to the Service ("User Content"), including meeting details, agent configurations, and conversations.

By submitting User Content to the Service, you grant scdl.ai a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, adapt, aggregate, publish, translate, and process your User Content for the following purposes:

  • Operating, maintaining, and improving the Service.
  • Training, fine-tuning, and improving AI models, including large language models and scheduling agents, whether those models are used internally or licensed to third parties.
  • Developing new products and features.
  • Research and analytics.

This license applies to User Content in both identifiable and de-identified form. To the extent User Content is de-identified such that it can no longer reasonably be linked to you, it may be used and shared without restriction and without further obligation to you.

7. AI Agent Behavior and Limitations

The AI agents within the Service act on your behalf to negotiate meeting times, communicate with attendees, and complete scheduling tasks based on your configured preferences. You acknowledge and agree that:

  • AI agents may make mistakes, misinterpret instructions, or produce unexpected outputs.
  • You are solely responsible for reviewing agent behavior and the accuracy of any scheduled meetings.
  • scdl.ai is not responsible for missed meetings, double bookings, or scheduling errors arising from agent outputs.
  • Communications sent by AI agents on your behalf are your communications, and you bear responsibility for their content.

8. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation.
  • Harass, spam, or deceive other users or meeting attendees.
  • Upload or transmit malware, viruses, or harmful code.
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure.
  • Reverse engineer, decompile, or attempt to extract the source code or AI models of the Service.
  • Scrape, crawl, or systematically extract data from the Service.
  • Use the Service in any manner that could disable, overburden, or impair the Service.
  • Impersonate any person or entity.

9. Third-Party Services

The Service integrates with third-party services including Google Calendar, Google Gmail, and AI model providers. Your use of these integrations is subject to the terms and privacy policies of those third parties. We are not responsible for the availability, accuracy, or practices of third-party services.

10. Intellectual Property

The Service, including its software, design, text, graphics, and AI models (excluding User Content), is owned by scdl.ai and protected by intellectual property laws. Nothing in these Terms transfers any ownership of our intellectual property to you. All rights not expressly granted herein are reserved by scdl.ai.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, scdl.ai EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES. NO ADVICE OR INFORMATION OBTAINED FROM US OR THROUGH THE SERVICE CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, scdl.ai AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

13. Indemnification

You agree to defend, indemnify, and hold harmless scdl.ai and its officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any third-party right, including any intellectual property or privacy right; or (e) any claim that communications sent by your AI agents caused harm to a third party.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your license to use the Service ceases immediately. Sections 6, 10, 11, 12, 13, 15, and 16 survive any termination. You may terminate your account at any time by contacting us at privacy@scdl.ai.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising from these Terms or the Service shall be resolved exclusively by binding individual arbitration under the rules of the American Arbitration Association, conducted in English. You waive any right to participate in a class action lawsuit or class-wide arbitration. Notwithstanding the foregoing, either party may seek injunctive relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.

16. General Provisions

  • Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between you and scdl.ai regarding the Service and supersede all prior agreements.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
  • Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
  • Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms freely.
  • Changes to Terms: We may update these Terms at any time. Material changes will be communicated via email or a prominent notice in the Service. Continued use after the effective date constitutes acceptance.
